If and to the extent that you are not the owner of some or all of the copyright within the advertisement or of any of its constituent parts but have nevertheless been granted a copyright licence in respect of such copyright by a person entitled to grant it, you shall ensure that the appropriate license for such copyright and any other intellectual property rights is granted to Quick Before Its Gone Ltd.
You warrant that neither publication of the advertisement by Quick Before Its Gone Ltd nor any action taken pursuant to this Agreement will infringe any rights (including copyright) of any third party.
The duty to update information (including whether or not the property continues to be available for exchange) and ensure that the advertisement conforms to the Advertising Code of the Committee of Advertising Practice belongs to you. Quick Before Its Gone Ltd cannot be responsible for the details of the advertisement nor for any aspect of any relationship between you and any third party. Quick Before Its Gone Ltd does not accept liability for any errors or omissions and reserves the right to change information, specifications, descriptions and fees of Quick Before Its Gone Ltd service at any time.
You shall indemnify Quick Before Its Gone Ltd and keep Quick Before Its Gone Ltd indemnified against loss, injury or damage (including any legal costs or expenses properly incurred and any compensation costs or disbursements paid by Quick Before Its Gone Ltd on the advice of its legal advisers to compromise or settle any claim) occasioned to Quick Before Its Gone Ltd in consequence of any breach of any of the warranties set out in this agreement, or arising out of any claim alleging that the advertisement or the publication of the advertisement constitutes a breach of any of those warranties and shall provide all reasonable assistance requested of you by Quick Before Its Gone Ltd. You shall notify Quick Before Its Gone Ltd of any claim or potential claim in respect of the advertisement against either you or Quick Before Its Gone Ltd immediately upon becoming aware of the same.
Without prejudice to your warranties and indemnities, Quick Before Its Gone Ltd may remove or amend anything in the advertisement which in Quick Before its gone Ltd's opinion (or on the advice of Quick Before Its Gone Ltd's legal advisers) is considered defamatory, objectionable, likely to constitute a breach of your warranties or is otherwise unfit for publication. Quick Before Its Gone Ltd may include within the advertisement such disclaimer of liability or responsibility Quick Before Its Gone Ltd may reasonably require. In the event of any disagreement with you, Quick Before Its Gone Ltd shall be entitled if in its opinion (which opinion shall be conclusive) the advertisement is not of a standard to make it suitable for publication (whether before or after amendment as referred to) Quick Before Its Gone Ltd may terminate this agreement with immediate effect. You shall have no claim against Quick Before Its Gone Ltd our agents or employees in the event that the advertisement or any part of it becomes the subject of any legal proceedings or in the event that the entire advertisement is ultimately withdrawn under this clause.
Users of this Website must check and establish the correctness of any details of properties advertised and are responsible for making their own enquiries.
Quick Before Its Gone Ltd have established that a Home Information Pack (HIP) is not required when advertising a property 'for exchange' however it does not accept any liability if this situation changes.
